NOTICE IS HEREBY GIVEN that at an extraordinary meeting of the members of NB Distressed Debt Investment Fund Limited (the “Company”) on 4 December 2025, the following resolutions were passed by the members:

• THAT the Company be wound up voluntarily; and

• THAT Sophie Smith and Matthew Wright of Leonard Curtis C.I. Limited, Upper House, 16-20 Smith Street, St Peter Port, Guernsey, GY1 2JQ be appointed as Joint Liquidators of the Company for the purpose of the winding up of the Company.
