NOTICE OF FILING AND HEARING ON VERIFIED

PETITION UNDER CHAPTER 15 OF THE UNITED STATES

BANKRUPTCY CODE AND NOTICE PURSUANT TO

FED. R. BANKR. P. 9017 AND FED R. CIV. P. 44.1

PLEASE TAKE NOTICE, that on July 7, 2026, Andrew Richard

Victor Morrison and David Martin Griffin, in their capacities as

the proposed foreign representatives (the “Petitioners” or the

“Foreign Representatives”) of Sciens Group Alternative Strategies

PCC Limited (“SGAS”) and its affiliated debtors in these Chapter

15 Cases (the “Debtors”)2 with respect to the Debtors’ voluntary

liquidation proceedings (the “Guernsey Proceedings”) under

sections 391 to 405 of Part XXII of the Companies (Guernsey) Law

2008 (the “Guernsey Companies Law”), of the laws of the Bailiwick

of Guernsey (“Guernsey”), by United States counsel, Cleary Gottlieb

Steen & Hamilton LLP and Bonds Ellis Eppich Schafer Jones LLP,

filed a verified petition (the “Verified Petition”) under chapter 15

of title 11 of the United States Code (the “Bankruptcy Code”) for

recognition of foreign main proceedings and the Official Form

Petitions (the “Official Form Petitions,” collectively, with the Verified

Petition, the “Petitions”) commencing chapter 15 cases ancillary to

the Guernsey Proceedings and seeking recognition of such foreign

proceedings as “foreign main proceedings” and additional relief in

aid of the Guernsey Proceedings in the United States Bankruptcy

Court for the Southern District of Texas (the “Court”) with respect

to the Debtors.

PLEASE TAKE FURTHER NOTICE that together with the Official

Form Petitions, the Petitioners have also caused to be filed: (i) the

lists required to be filed with the Petitions pursuant to Bankruptcy

Rule 1007(a)(4) and the statement of the Debtors’ foreign

representatives under section 1515(c) of the Bankruptcy Code;

(ii) the declaration of the Debtors’ foreign representatives of the

foreign proceedings required to be filed pursuant to Bankruptcy

Code section 1515; (iii) the Verified Petition; and (iv) the declaration

of the Debtors’ Guernsey Counsel (collectively the “Supporting

Documents”).

PLEASE TAKE FURTHER NOTICE that the Court has scheduled a

hearing (the “Recognition Hearing”) to consider the relief requested

in the Petitions for August 10, 2026 at 9:00 a.m. (prevailing

Central Time).

Copies of the Petitions and all accompanying documentation are

available to parties-in-interest on the Court’s Electronic Case Filing

System, which can be accessed from the Court’s website at http://

PLEASE TAKE FURTHER NOTICE that any party-in-interest

wishing to submit a response or objection to the Petitions or the

relief requested therein must do so in writing and in accordance

with the Bankruptcy Code, the Bankruptcy Rules, and the

Bankruptcy Local Rules for the United States Bankruptcy Court

for the Southern District of Texas, setting forth the basis therefor,

which response or objection must be filed with the United States

Bankruptcy Court for the Southern District of Texas, Office of the

Clerk of the Court, 515 Rusk Street, Houston, Texas 77002 and

served upon counsel for the Petitioners so as to be actually received

by them no later than August 3, 2026, at 4:00 p.m. (prevailing

Central Time). Notices to counsel for the Petitioners should be

PLEASE TAKE FURTHER NOTICE that if no response or objection

is timely filed and served as provided above, the Court may grant

the relief requested in the Petitions without further notice.

PLEASE TAKE FURTHER NOTICE that, in the course of these

Chapter 15 Cases, the Debtors may raise issues under the Guernsey

Companies Law or related Guernsey insolvency law.

HEARING PROCEDURES

PLEASE TAKE FURTHER NOTICE that, unless otherwise ordered,

all hearings in this matter shall be hybrid hearings consistent with

Section H of the Procedures for Complex Cases in the Southern

District of Texas. Parties may participate in hearings either in

person or by an audio and video connection.

PLEASE TAKE FURTHER NOTICE that the Court will

simultaneously use two technology methods to conduct electronic

hearings. One method will provide audio communication. The other

will provide video access to exhibits and materials presented to the

Court. If a party wants to both view the documents presented to the

Court and hear the proceeding, the party must (a) dial in through the

audio system, and (b) log into the Court’s video via GoToMeeting.

PLEASE TAKE FURTHER NOTICE that audio communication will

be by the use of the Court’s dial-in facility. You may access the

facility at (832) 917-1510. Once connected, you will be asked to

enter the conference room number. Judge Lopez’s conference

in the upper right corner and enter your name under the personal

Your rights may be affected. You should read the Verified

Petition and Supporting Documents carefully and discuss them

with your attorney if you have one in connection with these

Chapter 15 Cases. If you do not have an attorney, you may

wish to consult one.

PLEASE TAKE FURTHER NOTICE that, if you do not want the

Court to grant the relief requested by the Petitioners, or if you

want the Court to consider your views on any matter requested

at the Recognition Hearing, then you or your attorney must attend

such hearing. If you or your attorney do not take these steps, the

Court may decide that you do not oppose the relief sought by the

Petitioners and may enter an order granting the relief requested.

PLEASE TAKE FURTHER NOTICE that the Recognition Hearing

may be adjourned from time to time without further notice other

than an announcement in open court, or a notice of adjournment

filed with the Court, of the adjourned date or dates at the hearing or

any other further adjourned hearing.

PLEASE TAKE FURTHER NOTICE that at the Recognition Hearing

the Court may order the scheduling of a case management

conference to consider the efficient administration of the Chapter

15 Cases.
