that on 15 September 2026 the following resolutions

were passed by the members of the Company:

THAT

the Company be and is hereby wound

up voluntarily pursuant to section 391(1)(b)

of the Companies (Guernsey) Law, 2008 (as

amended).

THAT

Alex Adam and Andy Wood of

Teneo Financial Advisory Limited be hereby

appointed as Liquidators of the Company for

the purpose of winding up the Company.

THAT

the Liquidators be authorised to act

jointly and severally in the liquidation.

All persons having claims against, or who

are indebted to, the Company are requested
